GENERAL TERMS AND CONDITIONSLIMITATION OF LIABILITYShouaa Al Zahra Safety Equipment Company shall only be liable for the execution of such responsibilities as provided in the Agreement. Regardless whether arising from the Agreement, tort or otherwise, except in case of culpable personal injury or death, wilful misconduct or gross negligence, a) Shouaa Al Zahra Safety Equipment Company shall in no case be liable for any indirect, incidental or consequential loss, loss of profits, loss of revenue, cost of capital and claims of third parties suffered or incurred by Buyer, and b) Shouaa Al Zahra Safety Equipment Company’s liability to Buyer shall be limited to 10% of the Contract Price. SEVERABILITYIf any term or provision the Agreement is held to be illegal, in whole or in part, such term, provision or part shall to that extent be deemed not to form part of the Agreement but the enforceability of the remainder of the Agreement shall not be affected. In such event, the parties shall negotiate in good faith to replace such void provision with a valid provision which, as far as possible, has the same legal and commercial effect as that which it replaces. ENTIRE AGREEMENTThe Agreement constitute the entire agreement between the parties with respect to the individual supply of Products and/or provision of Services and supersede all prior representations, agreements and other understandings, oral or written, between the parties with respect to the subject matter hereof. There are no representations, agreements or understandings, express or implied, relating to the subject matter hereof which are not fully expressed in the Agreement. ASSIGNMENTNo party may assign, transfer or pledge or otherwise dispose of or grant any security interest in or over any of its rights or obligations under this Agreement without the prior written consent of the other party. |
